1. Agreement
This Affiliate Program Operating Agreement (“Operating Agreement”) contains the terms and conditions that govern your participation in the Affiliate Program (the “Program”). “We,” “us,” or “our” means GoAffPro.com and Partner Website. “You” or “your” means the applicant. A “site” means a website. “Partner Site” means the e-commerce/retail partner using the goaffpro affiliate tracking software (www.learnwithej.com). “Your site” means any site(s), any software application(s) and any Mobile Application (as defined hereinafter) that you link to the partner site. “Advertising Fees” means commissions earned for a successful and verified sale of product on the Partner Site by a customer using your referral link.
BY CHECKING THE BOX INDICATING THAT YOU AGREE TO THE TERMS AND CONDITIONS OF THIS OPERATING AGREEMENT, OR BY CONTINUING TO PARTICIPATE IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE, REVISED OPERATING AGREEMENT, OR REVISED OPERATIONAL DOCUMENTATION ON THE PARTNER WEBSITE, YOU (A) AGREE TO BE BOUND BY THIS OPERATING AGREEMENT; (B) ACKNOWLEDGE AND AGREE THAT YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS EXPRESSLY SET FORTH IN THIS OPERATING AGREEMENT; AND (C) HEREBY REPRESENT AND WARRANT THAT YOU ARE LAWFULLY ABLE TO ENTER INTO CONTRACTS (E.G., YOU ARE NOT A MINOR) AND THAT YOU ARE AND WILL REMAIN IN COMPLIANCE WITH THIS OPERATING AGREEMENT. IN ADDITION, IF THIS OPERATING AGREEMENT IS BEING AGREED TO BY A COMPANY OR OTHER LEGAL ENTITY, THEN THE PERSON AGREEING TO THIS OPERATING AGREEMENT ON BEHALF OF THAT COMPANY OR ENTITY HEREBY REPRESENTS AND WARRANTS THAT HE OR SHE IS AUTHORIZED AND LAWFULLY ABLE TO BIND THAT COMPANY OR ENTITY TO THIS OPERATING AGREEMENT.
2. Eligibility
To be eligible for participation in the Program, you must be at least 18 years old and comply with all applicable laws and regulations. learnwithej.com reserves the right to approve or reject any affiliate application at its sole discretion.
3. Enrollment
To enroll in the Affiliate Program, you must submit a complete Affiliate Application. The Company reserves the right to accept or reject any application at its sole discretion. Upon acceptance, you will be provided with unique affiliate tracking links and marketing materials.
4. Commissions
a. Commission Structure: Affiliates will earn a commission on qualifying sales generated through their unique affiliate links. The commission rates and payment terms will be outlined in the affiliate dashboard and may be subject to change at learnwithej.com’s discretion.
b. Qualifying Sales: To qualify for a commission, the referred customer must complete a purchase using the affiliate’s unique tracking link.
c. Exclusions: Commissions will not be paid on transactions that involve refunded products, chargebacks, or fraudulent activity.
5. Payouts
a. Payment Frequency: Payouts will be processed on a monthly basis, subject to a minimum payout threshold of $20. If the minimum threshold is not met, the commission will roll over to the next payout period.
b. Payment Methods: Affiliates can choose from available payment methods outlined in the affiliate dashboard.
c. Taxes: Affiliates are responsible for any taxes associated with their earnings. Learnwithej.com will not withhold taxes from affiliate payouts.
6. Tracking and Cookies
We use cookies to track affiliate sales. Cookies have a 7 days lifespan. Only sales made through properly tracked affiliate links will be eligible for commissions.
7. Affiliate Responsibilities
As an affiliate, you agree to:
- You agree to promote Company products/services in a manner that is ethical, honest, and in compliance with all applicable laws and regulations.
- Use only approved promotional materials provided by learnwithej.com.
- You are responsible for ensuring that your affiliate tracking links are properly formatted and functioning.
- Refrain from engaging in any form of misleading advertising or unethical marketing practices.
- Comply with all applicable laws and regulations in your marketing activities.
8. Prohibited Activities
- Affiliates are prohibited from bidding on the Company’s trademarked terms in pay-per-click advertising campaigns.
- Affiliates may not use their affiliate link for their own purchases.
- Affiliates may not engage in spamming or unsolicited email marketing.
9. Digital Product Sales
a. Product Delivery: Digital products will be delivered to customers electronically upon purchase. Affiliates are not responsible for product delivery.
b. Refunds and Chargebacks: Affiliates may not earn commissions on refunded or charge backed transactions.
10. Termination
a. Termination by Either Party: Either party may terminate the affiliate relationship at any time, for any reason, with or without cause, by providing written notice.
b. Effect of Termination: In the event of termination, accrued but unpaid commissions will be paid to the affiliate, subject to the terms outlined in this agreement.
11. Modifications
Learnwithej.com reserves the right to modify these terms and conditions at any time. Affiliates will be notified of any changes, and continued participation in the Program constitutes acceptance of the modified terms.
12. Confidentiality
You agree to keep confidential any information shared by learnwithej.com that is not publicly available. This includes, but is not limited to, commission rates, product launches, and marketing strategies.
13. Limitation of Liability
[Your Company Name] will not be liable for any indirect, special, or consequential damages arising out of or in connection with the Program.
14. Governing Law
This agreement is governed by and construed in accordance with the laws of Uttar Pradesh, India. Any disputes arising from or in connection with this agreement will be subject to the exclusive jurisdiction of the courts in Uttar Pradesh, India.
